1. Agreement to Terms
By accessing or using the website at https://contrivea.com/ or by engaging Contrivea's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our services.
2. Services
Contrivea provides brand identity design, UI/UX design, web design, web development, and related digital services ("Services"). The specific scope, deliverables, timelines, and fees for any project are agreed upon in a separate written proposal or contract.
We reserve the right to refuse service to anyone for any reason at any time.
3. Project Agreements
All project work is governed by a separate Statement of Work or Project Agreement signed by both parties. In the event of any conflict between these Terms and a signed project agreement, the signed project agreement shall take precedence.
Deposits and Payments
Projects require a deposit before work commences, as specified in your project proposal. Remaining payments are due according to the milestone schedule outlined in the project agreement. Failure to pay on time may result in work being paused until payment is received.
Revisions
Each project includes a defined number of revision rounds as specified in your proposal. Additional revisions beyond this scope will be quoted and billed separately.
4. Intellectual Property
Client Ownership
Upon receipt of full payment, all final deliverables — including logos, design files, and code — are transferred to you, the client. You will own the intellectual property rights to the final agreed deliverables.
Contrivea Rights
Contrivea retains the right to display all completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing prior to project commencement.
Third-Party Assets
Any stock imagery, fonts, icons, or third-party tools used in your project are subject to their respective licences. We will advise you of any ongoing licence requirements as part of the project handover.
5. Client Responsibilities
To ensure timely project delivery, you agree to:
- Provide content, materials, and feedback within agreed timeframes
- Ensure all content you supply does not infringe any third-party intellectual property rights
- Designate a single point of contact for project communication
- Make payments according to the agreed schedule
Delays caused by the client's failure to meet these responsibilities may result in revised timelines and additional costs.
6. Limitation of Liability
To the maximum extent permitted by law, Contrivea shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability for any claim arising from or relating to our services shall not exceed the total fees paid by you to Contrivea in the three (3) months preceding the claim.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation continues for a period of two (2) years after project completion, unless otherwise agreed in writing.
8. Termination
Either party may terminate a project with 14 days' written notice. Upon termination, you will be invoiced for all work completed up to the termination date. Any non-refundable deposits are retained by Contrivea. Files completed up to that point will be delivered upon receipt of final payment.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our site or services after any changes constitutes your acceptance of the new Terms.
